DIN Closure

Director Identification Number (DIN) is a unique 8-digit number allotted by the Central Government to individuals who intend to be appointed as Directors in Companies or Partners in LLPs registered in India. The application for DIN allotment is made in Form DIR-3/Spice+ along with the required fees and documents. Once allotted, the same DIN cannot be allotted to any other person and is valid for a lifetime. Any change in details provided in Form DIR-3 or Spice+ must be intimated through Form DIR-6 along with supportive documents. Failure to comply with this requirement may result in non-compliance of Section 155 of the Companies Act, 2013, and may lead to imprisonment or fine for the Director or the Company.

DIN can be used to file returns, applications, or any other information related to the company with the Ministry of Corporate Affairs. Directors are also required to comply with the annual KYC (Know Your Customer) requirement within the due date of each financial year. If a Director holds multiple DINs, an application must be made to the Regional Director in Form DIR-5 along with a notarized affidavit stating that the additional DINs have never been used in any document submitted to the Registrar of Companies (ROC). DIN can also be surrendered voluntarily by the DIN holder if the Director has not been appointed in any company or body corporate while in possession of the DIN and the DIN has not been used in any communication to regulators. In certain cases, the Central Government may order the surrender of DIN, such as when the Director has obtained the DIN by fraud or misrepresentation, in case of the Director’s death, or if the Director has been declared or adjudged as insolvent.
